END-USER LICENSE AGREEMENT (EULA)


Adherence IP Suite:  Adherence Cartography™, BAS-8™, BFS™, Ξ™, Ξxpert™, Ξxchange™, ATLAS™

This End-User License Agreement ("Agreement") is a binding legal contract between the end user ("Licensee") and Adherence ("Licensor"), the exclusive authorized entity governing the use, distribution, and implementation of the Adherence Cartography™ IP Suite, including but not limited to: the Behavioral Adherence Stability Scale (BAS-8™), the Behavioral Fragility Score (BFS™), the Ξxpert™ training and credentialing system, and the ATLAS™ behavioral intelligence platform. The Morisky Medication Adherence Scales (MMAS®) in all forms are property of MMAR.

By accessing, using, reproducing, training upon, integrating, or otherwise interacting with any part of the above IP, the Licensee affirms consent to the terms and conditions outlined below.


Scope of License

The Licensor grants the Licensee a non-transferable, non-exclusive, revocable license to use the Adherence IP Suite for academic, clinical research, or educational purposes. This includes access to validated and exploratory instruments, scoring systems, software workbooks, and associated documentation provided by the Licensor.

Commercial use, redistribution, modification, or rebranding of any component of the Adherence IP Suite whether digital, print, embedded, or derivative is strictly prohibited without prior written permission. This license does not convey ownership, co-authorship, or derivative rights of any kind.


Training Requirements and Fidelity Obligations

All Licensees must complete at minimum the Ξxpert Introductory Training, which ensures appropriate phrasing, administration, interpretation, and scoring protocols for all adherence tools under the Adherence banner. Use of the BAS-8™, BFS™, or BFM™ without prior training constitutes a breach of license. All tools must be used in their official format only, without unauthorized adaptations, reformulations, translations, or digital re-engineering. The behavioral fidelity of the instruments is central to their scientific validity and intellectual protection.


Specific Terms Related to the MMAS®

The MMAS®, including the MMAS-4™ and MMAS-8™ is a proprietary behavioral assessment instrument rooted in the work of Dr. Donald E. Morisky and remains fully protected by copyright, trademark, and trade secret law. It must not be modified, republished, embedded in third-party platforms, reverse-engineered, or publicly reproduced in any form, physical or digital.

Approved scoring worksheets are provided to Licensees and must be stored securely. Scoring algorithms may not be published in appendices, online platforms, or supplementary grant documents. Descriptive phrasing for academic publication is available upon request. All scoring access is conditional on fidelity and confidentiality.

Any use of the MMAS under a different name, or attempts to co-brand or alter its identity, will result in immediate termination of the license and potential legal recourse.


Integration with the ATLAS™ Platform

Where appropriate and with prior coordination, Licensees may submit de-identified BAS-8 and/or MMAS scoring data into the ATLAS™ behavioral intelligence system. ATLAS models large-scale population-level adherence behaviors and helps identify behavioral fragility trends across geographic, institutional, or therapeutic boundaries.

Submission to ATLAS is optional and voluntary. All data contributors retain ownership of their original datasets. No patient-level targeting, marketing, or commercial repurposing of contributed data will ever occur.

Data Privacy, Ethics, and Compliance

The Licensor is committed to upholding the highest standards of data privacy, research ethics, and regulatory compliance, including alignment with GDPR, HIPAA, and local data protection laws.

All submitted data must be fully de-identified before transmission. The Licensee is responsible for compliance with all relevant Institutional Review Board (IRB) guidelines and ethical clearance procedures.

Adherence prohibits:


  • The submission of any personally identifiable information (PII);
     
  • The embedding of identifiable patient data into any scoring workbook;
     
  • The use of public cloud-based tools without encryption for score computation.
     

Violations of these principles may result in the immediate suspension or permanent revocation of the license.

Attribution and Citation

All publications, presentations, and derivative works must contain proper attribution:

BAS-8™, BFS™  are protected under international IP. All rights reserved.
 

Licensees are encouraged to submit copies of resulting manuscripts, abstracts, or posters using Adherence tools for documentation and audit purposes.


Ownership and Enforcement

All tools, constructs, scoring methods, formats, and content, whether validated or exploratory will remain the exclusive intellectual property of the Licensor. Nothing in this Agreement grants the Licensee the right to adapt, translate, co-publish, or infer ownership of any portion of the Adherence IP Suite.

Unauthorized use of any component including training slides, platform interfaces, or adapted metrics will be considered a breach and may result in legal action.


Termination

This Agreement shall remain in effect until terminated by either party. The Licensor reserves the right to revoke the license at any time for violations of this agreement, misuse, or deviation from protocol. Upon termination, the Licensee must destroy all materials in their possession related to the MMAS, BAS-8, BFS, or BFM in any form: digital, print, or software.


Disclaimers and Jurisdiction

All tools provided are as-is, with no warranties regarding performance, outcomes, or clinical impact. The Licensor disclaims any liability arising from interpretation or application. This Agreement is governed by the laws of the State of California, United States. Disputes will be resolved under California jurisdiction.

Final Statement

This Agreement constitutes the full and binding understanding between the parties. Any continued use of the Adherence IP Suite constitutes acknowledgment and acceptance of these terms. Updated versions may be issued periodically and will be published at www.adherence.cc.
